Terms of Service

1. Terms of Engagement

By engaging smarlling’s service, you agree to adhere to all of the terms and conditions listed below.

2. Website Service (Design or Maintenance)

The following agreement defines the provision of Website Design services by the “Company” (smarlling) to the “Client” for the “Campaign” and “Website.”

The first draft shall be ready around 2 working weeks upon receipt of the down payment and the Client shall be informed once the first draft is ready.

Up to a maximum of 2 revisions are allowed for each website designed which the Client can inform the Company either before or after the completion of the website.

Please note that due to the scope of work required by every client varying, the terms agreed between the Client and the Company supersede all the terms and conditions listed here.

These terms of service are intended to serve as a general guide for clients who do not require a customized service.

Note: Government support grants are not applicable when you engage in our service.

 

3. Search Engine Marketing (SEM) / Google Ads

The following agreement defines the provision of Search Engine Marketing (SEM) / Google Ads services by the “Company” (smarlling) to the “Client” for the “Campaign” and “Website.”

The Company agrees to provide the services to the Client, and the Client authorizes the Company to utilize the Key Phrases to try to improve the Website’s ranking and/or positioning in the Search Engines.

The Client understands and accepts that: The Company agrees to deliver the Services to the Client, and the Client has given the Company permission to utilize the Key Phrases to manage and attempt to improve the success of the Client’s advertising campaign(s) inside the Search Engine.

For the purpose of providing the service, the Client agrees to provide where applicable:

  • Login credentials for Google Analytics, key phrase suggestions for key phrase testing, and any ad text suggestions for ad development.

The Client agrees and acknowledges the following with respect to services:

  • The Company has no influence over search engine policies regarding the types of sites and/or material that they accept now or in the future. The search engine reserves the right to exclude the client’s website from any website at their sole discretion.

  • The Client and the Company must both agree on the key terms for Google Ads / Search Engine Marketing (SEM).

  • The Client can opt to pay Google directly for media expenditure, or the Company can pay on the Client’s behalf after the Client has paid the Company’s invoice, which includes the management fee and media spend.

The Client acknowledges that the Company provides no guarantee that Google Ads will result in a rise in sales, business activity, profits, or any other form of improvement for the Client’s business or any other purpose. The Company will not accept any liability (unless as required by law) for any damages or losses occurring from or as a result of the provision of the Services.

Disclaimer

The materials on smarlling‘s website are provided “as is”. smarlling makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, smarlling does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet website or otherwise relating to such materials or on any sites linked to this site.

Limitations

Even if smarlling or a smarlling authorized representative has been notified verbally or in writing of the possibility of such damage, in no event shall smarlling or its suppliers are liable for any damages (including, without limitation, damages for loss of data or profit, or damages for business interruption) arising out of the use or inability to use the materials on smarlling’s website. These limits may not apply to you because some countries do not allow limitations on implied warranties or liability for consequential or incidental damages.

Revisions and Errors

The materials published on smarlling’s website may include errors in terms of technical, typographical, or photographic. smarlling makes no representations or warranties as to the accuracy, completeness, or timeliness of the materials on its website. smarlling has the right to make changes to the materials on its website at any time and without notice. smarlling, on the other hand, makes no guarantee that the materials will be updated.

smarlling has not reviewed all of the sites linked to its website and is not responsible for any of their content. The presence of a link does not imply that smarlling endorses the site. The user assumes full responsibility for their use of any linked website.

Modification to the Site’s Terms of Use

smarlling reserves the right to change these terms of service for its website at any time without prior notice. You agree to be governed by the most recent version of these Terms & Conditions of Use by accessing this website.

Governing Law

Any claim or dispute relating to smarlling’s website shall be governed by the laws of the State of Singapore without regard to its conflict of law provisions

Earnings Disclaimer

Results may differ from one industry to the next, and from one businessperson to the other.

Whether it’s calculating profits, sales revenue, advertising costs, budget, cost per lead, or cost per click, they may vary from time to time.

We seek your understanding that the results are not typical. We are professional digital marketers who create a customized strategy tailored to each unique client. Various factors such as your length of business, your business reputation, your sales experience, your work ethic, customer service experience, etc… will have an impact on the results.

Every single business entails risk and we do not make any guarantee whatsoever. We would not be a good fit for us to work together if you are not willing to accept the fact.
